1. General

These terms and conditions are a binding agreement between you and Sobonito Investments Ltd. dba weRlive.com which operates the Site and provides the communications services available in connection with the Site including without limitation participation in audio and video chat with Expert, communication transmitted via message center and viewing of Expert galleries and tutorials (the 'Communications Services').
2. The following Terms and Conditions comprise the entire agreement between weRlive.com and you, superseding any prior agreements between you and weRlive.com. Please note that you may be subject to additional rules and regulations that may apply when you use specific features on the Site.
3. These Terms and Conditions contain disclaimers (including inter alia at Sections 7, 8, 9, 10 and 11) as well as exclusive remedy provisions (including inter alia at Section 9).
4. weRlive.com may, from time to time, change the Terms and Conditions. You agree to review the Terms and Conditions and the relevant rules and regulations periodically and to be updated of such changes. In case you do not wish to remain a member due to the change in the Terms and Conditions, you may terminate your membership as provided in the Cancellation Section below. Please note that your continued use of the Site and the Communications Services following the changes of the Terms and Conditions constitutes acceptance of all such changes.
5. You acknowledge and agree that weRlive.com does not and cannot control the information and content transmitted by Experts via the Communications Services or the information and content transmitted by you via the Communications Services. weRlive.com provides a platform for Members to interact with Experts and ask for their advice. weRlive.com makes no representation or warranty whatsoever as to the professionalism or the ability of any Expert to provide services and/or advice, or that Members will find the advice they get satisfactory, or that it will provide an appropriate answer to their question. You have the sole responsibility to verify the Expert's qualifications and abilities. weRlive.com has no control on whether the expert is classified properly. You take full responsibility for the decision to access an expert through weRlive.com and to continue to interact with the Expert and that weRlive's role is limited to providing the platform and access to the Expert services. Attention - online advice is not suitable for all needs. In case you experience any suicidal thoughts please contact immediately the support and help services in your country (911 numbers or your country's support line).
6. As a user of the Site you may access some parts of the weRlive.com system, however, you are not automatically granted with all privileges regarding the weRlive.com system and some of the features and services on the Site are not free of charge. Access to certain of the Communications Services including the Video/Audio Chat rooms may require an additional fee, at the discretion and control of the Video/Audio Chat Expert (the amount of any such fee is disclosed prior to entering that specific Video/Audio Chat room).
7. Please note that any payments made by you for the Communication Services or other features/services will NOT grant you with any rights and/or credits to any of the Site's affiliated sites.
2. Member's Account and Account Information
1. You certify that you are at least 18 years of age. You hereby agree to provide weRlive.com with true, complete and up-to-date information regarding your registration and billing information. Any Member providing weRlive.com with information that is not true, complete and up-to-date shall face immediate termination of accounts in weRlive.com and is subject to civil and criminal liability.
2. Every new Member chooses a password and a screen name at time of registration. Please note that you should choose your name carefully and you may not choose or use a screen name of another person, a name that is violating a third party's intellectual property rights or a screen name that is offensive or inappropriate.
3. It is clarified that weRlive.com owns all screen names used on the Site.
4. During your joining procedure, you will be required to download a simple program, which enables weRlive.com to recognize some of your personal details. This is an important part of the weRlive.com fraud prevention policy.
5. You are solely and entirely liable for all of the activities on the Site, via the Communications Services and otherwise connected to the Site, conducted through your account. Please note that, as a Member of the Site you may not permit any other person to use your Member account. Your Membership, username and password (Login), may not be assigned or transferred to any other person or entity. You must promptly inform weRlive.com of any apparent breach of security, such as loss, theft, or unauthorized disclosure or use of a username or password.
6. Members whose account has been terminated by weRlive.com may not access the Site or the Communications Services without the prior express written permission of weRlive.com.
7. Cancellation of your account:
   You may cancel your account on the Site, at any time, by going to: http://weRlive.com/delete.asp. In all cases of cancellation of your account you will remain liable for all payments due on your account as well as other such liabilities. In case of cancellation of an account no credits on the weRlive.com system will be credited, reimbursed or refunded to you.
8. Termination of your account:
   weRlive.com reserves the right to terminate your Membership at any time. In cases of termination of your account you will remain liable for all payments due on your account as well as other such liabilities. In case of termination of your account due to a breach of you will not be credited, reimbursed or refunded for any credits held at the time in your account. Furthermore, in any case the Site and/or the Communications Services are terminated or suspended it is hereby clarified that all Memberships (of all kinds) are terminated immediately, without any prior notifications by weRlive.com.
3. Charges, Billing and Payments
1. weRlive.com has no basic fee for membership to the weRlive.com Site. However, certain of the Communications Services and other features on the Site do cost money. 2. Where video chat is charged for, the prices for the Video Chats are per-minute prices and are disclosed to you prior to your entrance into the Video Chat room or prior to the charge becoming applicable.
3. You are able to see all of your records of usage of the Communications Services and other features of the Sites as well as the status of your credits on http://weRlive.com/gtransactions.asp. For billing inquiries, please contact the weRlive.com Customer Support, at any time.
4. Each time you enter and use the Communications Services and other non-free features of the Site you agree that weRlive.com is authorized to charge (and recharge) your credit card. Please note that your credit card issuer agreement governs your use of your designated credit card in connection with weRlive.com. You must refer to that agreement and not these Terms and Conditions regarding your rights and liabilities as a credit card holder. You here by agree that weRlive.com may, at its own discretion, accumulate your charges. 5. You may choose to make your payments by credit card, by check and/or by money wires directly to the weRlive.com bank account. Credit card charges are processed via one of weRlive's third party processor CCBill, which are fully secured and guaranteed to ensure the Member's absolute privacy and reliability in the amount charged. For users paying with Visa, credit charges will appear on credit statements from either "CCbill.com *sobonito inv", depending on which company is processing the account. For users paying with other credit cards, charges will appear on statements as either "CCbill.com", depending on which company is processing the account. 6. Please Note: You must carry out all of your payment commitments to weRlive.com on time. In case weRlive.com does not receive the full amount of your owed weRlive.com account on due time you will be liable for all attorney and collection fees regarding efforts to collect any unpaid payments owed by you. In cases of termination and/or cancellation of your account you will remain liable for all payments of your account as well as other such liabilities.
7. It is hereby clarified that weRlive.com has the right, at its own and sole discretion and at all time, to change the billing and payments methods and to add or remove other methods regarding the billing and payments issues. weRlive.com reserves the right, at its own and sole discretion and at all time, to change all and any fees and charges regarding the use of the Communications Services and other features of the Site. In case you do not wish to remain a member due to the change in the Terms and Conditions, you may terminate your membership as provided in the Cancellation Section above. Please note that your continued use of the Communications Services and other features of the Site following the changes of the Terms and Conditions constitutes acceptance of all such changes.
8. You (and you alone) are responsible for all charges associated with connecting to weRlive.com.
9. Please note that in any case of a charge back occurring from your credit card to one or more charges of weRlive.com, your account will be terminated immediately and all of your credits in the weRlive.com system will be forfeited. If you have some questions and/or regarding one or more of the transactions regarding the usage of the weRlive.com system, please feel free to contact weRlive.com customer service at: http://weRlive.com/customerservice.asp.
10. Refunds
    The basic policy of weRlive.com is not to provide refunds to Members unless specific extraordinary circumstances apply. weRlive.com has a no-refunds policy. In some cases weRlive.com may issue refunds to Members that turn to weRlive.com, in the form of credits of free time in the weRlive.com system. In the event that a refund is issued, ALL refunds will be made by crediting the credit card that was used to make the original purchase.
• If you register for an Expert Fan Club and the Expert is temporarily and/or permanently not available on the Site, you will not be entitled to any refunds.
• NO refunds will be made by cash or check.
• Please note that in case of cancellation of account no credits on the weRlive.com system will be credited to you or can be converted to cash or other form of reimbursement.
4. The weRlive.com Content
1. You hereby acknowledge that all of the information and content (in any format whatsoever) on the Site or transmitted via the Communications Services is either owned by or licensed to weRlive.com.
2. weRlive.com itself holds a copyright in respect of the compilation, arrangement and coordination of such content and information. It is clarified that weRlive.com does not prescreen and does not hold the responsibility for the content and information published and/or displayed via the Communications Services (including in the video chat rooms) or on certain other features of the Site. However, weRlive.com shall have the right to remove content (as well as to immediately disconnect Members from the services on the Site, in any case weRlive.com deems that the content or the information is harmful, offensive or otherwise violates these Terms and Conditions.)
3. All materials on the Site are proprietary, constitute valuable intellectual property, are copyrighted and are protected under treaty provisions and worldwide copyright laws. The Site's materials including those transmitted via the Communications Services may not be reproduced, copied, edited, published, transmitted or uploaded in any way without written permission from weRlive.com. By submitting content and/or information to any "public area" on the Site, such as forums, message centers and entering a video chat room you grant weRlive.com the royalty-free, perpetual, irrevocable, non-exclusive right (including any moral rights) and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, communicate to the public, perform and display the content and/or the information and/or to incorporate it in other works in any form, media or technology, for the full term of any rights that may exist in such content.
4. The names "weRlive" and "weRlive.com" are protected by trademark law as are other brand names on the Site.
5. Please note that some of the weRlive.com features contain content that is inappropriate for minors. You acknowledge that weRlive.com cannot, and does not intend to, screen information and content transmitted via the Communication Services between Members and Experts as well as other content on the Site, in advance. Therefore, weRlive.com shall not be held liable for any of the content provided by Members and/or Experts on the Site. However, weRlive.com may, at its sole discretion, choose to monitor some or all, of the content.
6. It is hereby clarified that in cases weRlive.com decides that any conduct by a Member that restricts or inhibits any other Member and/or Expert, person or entity from using or enjoying weRlive.com, weRlive.com shall immediately terminate that Member's membership.
7. You are hereby committed to use the weRlive.com systems for lawful purposes only. Under no circumstances will you use your Membership and/or your account to do the following:
• Promote or transmit any unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, hateful, racially, ethnically or any kind of nudity, acted or depicted or otherwise objectionable content.
• Harass, embarrass, or cause distress, unwanted attention or discomfort upon another Member and/or Expert and/or user of weRlive.com or any other person or entity;
• Disturb other Members and/or Experts while on the Site;
• Impersonate any person or entity, including, but not limited to a minor or an weRlive.com official representative;
• Post or transmit, or cause to be posted or transmitted via the Communications Services any materials advertising any business other than weRlive.com
• Seek to obtain password, account, or private financial information from any Member and/or Host.
5. EMAILS AND SPAM: AS A RESPONSIBLE MEMBER OF THE CYBER COMMUNITY THIS SITE MAINTAINS A STRICT POLICY FORBIDDING ANY THIRD PARTY FROM SENDING ANY SORT OF PROMOTIONAL EMAILS ON BEHALF OF THE SITE – SOLICITED OR UNSOLICITED.  THIS MEANS WE GO BEYOND MERELY PROHIBITING SPAMMING.  TO MAKE THINGS EVEN CLEARER FOR EVERYBODY WE DON'T LET ANYBODY ELSE SEND ANY EMAILS ON OUR BEHALF.  MOREOVER, weRlive.COM ITSELF ONLY SENDS EMAILS TO PERSONS WHO HAVE REGISTERED ON THE SITE.  THESE TWO POLICIES MAKE UP OUR STRONG "ANTI-SPAM POLICY".   We do allow Members to send a very small number of emails to friends and family via the Site.  Although this function is very limited, i.e., it is not possible to transmit commercial quantities of emails via this function, abuse will nevertheless not be tolerated.  Abuse of this function will result in termination of the Member's account.  Please see our Anti-Spam Policy for further information including details of how to report violations of these policies.
6. THIRD PARTY PRODUCTS: You understand that certain products which may be made available or sold on or via the Site or the Communications Services are not manufactured by weRlive.com but are manufactured by others. You further understand that certain of these products which may be made available on the Site may be inappropriate for minors. You understand and agree that you will use any such products only in compliance with any manufacturer's instructions for use accompanying such products. ANY WARRANTIES COVERING ANY SUCH PRODUCTS ARE PROVIDED SOLELY BY THE MANUFACTURER(S) OF SUCH PRODUCTS AND weRlive.COM MAKES NO WARRANTY OF ANY KIND WITH RESPECT TO ANY SUCH PRODUCTS AND HEREBY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, DIRECT OR INDIRECT, INCLUDING, BUT NOT LIMITED TO, ALL IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, EXCEPT AS OTHERWISE SPECIFIED IN THIS AGREEMENT OR WHERE SUCH DISCLAIMERS ARE HELD TO BE LEGALLY INVALID.     Use of the said products is restricted to use in connection with the Communications Services.
7. DISCLAIMER OF WARRANTIES – THE SITE AND THE COMMUNICATION SERVICES ARE PROVIDED TO YOU "AS IS", "WITH ALL FAULTS", "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED AND TO THE FULLEST EXTENT POSSIBLE UNDER APPLICABLE LAW WE SPECIFICALLY DISCLAIM ANY AND ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO: (I) ANY WARRANTIES CONCERNING THE AVAILABILITY, ACCURACY, RELIABILITY, COMPLETENESS, CAPABILITIES, SECURITY, TIMELINESS, USEFULNESS OR CONTENT OF THE SITE AND COMMUNICATIONS SERVICES OR THE ABILITY OF THE SITE OR THE COMMUNICATION SERVICES TO INTEROPERATE OR INTEGRATE WITH ANY THIRD PARTY PRODUCTS SUCH AS SOFTWARE OR HARDWARE; (II) ANY WARRANTIES RESULTING FROM A COURSE OF DEALING OR USAGE OF TRADE (III) ANY WARRANTIES WITH REGARD TO THE ACCURACY OR COMPLETENESS OF OR ERRORS IN THE CONTENTS OR FUNCTIONING OF  OR THE ACCURACY OF THE RESULTS OR OUTPUT THAT DERIVES FROM THE USE OF THE THE SITE OR THE COMMUNICATIONS SERVICES; (IV) ANY WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE; AND (IV) ANY WARRANTIES REGARDING THE RIGHTS AND TITLE OF weRlive.COM IN THE SITE AND COMMUNICATIONS SERVICES, OR ANY WARRANTY THAT THE SITE OR THE COMMUNICATIONS SERVICES DO NOT INFRINGE THE INTELLECTUAL PROPERTY RIGHTS OF A THIRD PARTY. THIS DISCLAIMER OF LIABILITY APPLIES TO ANY DAMAGES OR INJURY CAUSED TO YOU OR TO ANY THIRD PARTY INCLUDING, WITHOUT LIMITATION, AS A RESULT OF ANY FAILURE OF PERFORMANCE, BUG, ERROR, OMISSION, INTERRUPTION, DELETION, DEFECT, DELAY IN OPERATION OR TRANSMISSION, VIRUS, COMMUNICATION LINE FAILURE, THEFT OR DESTRUCTION OR UNAUTHORIZED ACCESS TO, ALTERATION, INACCESSIBILITY OR LOSS OF, OR USE OF DATA, INFORMATION AND/OR RECORDS, WHETHER FOR BREACH OF CONTRACT, TORT, NEGLIGENCE, OR UNDER ANY OTHER CAUSE OF ACTION. WE SPECIFICALLY DO NOT WARRANT OR GUARANTEE (1) THAT THE SITE OR THE COMMUNICATIONS SERVICES OR ANY PORTION THEREOF WILL BE FREE OF INFECTION BY VIRUSES, OR ANYTHING ELSE MANIFESTING CONTAMINATING OR DESTRUCTIVE PROPERTIES, OR (2) THAT THE FUNCTIONS PERFORMED BY THE SITE OR THE COMMUNICATIONS SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE OR THAT DEFECTS IN THE SITE OR THE COMMUNICATION SERVICES WILL BE CORRECTED. IT IS YOUR SOLE RESPONSIBILITY TO EXECUTE ANTI-CONTAMINATION/VIRUS SOFTWARE AND OTHERWISE TAKE STEPS TO ENSURE THAT THE SITE AND THE COMMUNICATION SERVICES, IF CONTAMINATED OR INFECTED, WILL NOT DAMAGE YOUR INFORMATION OR SYSTEM.
8. LIMITATION OF LIABILITY - IN NO EVENT WILL WERLIVE.COM OR ITS SUBSIDIARIES OR SUPPLIERS OR ITS/ITS SUBSIDIARIES'/SUPPLIERS' OFFICERS, DIRECTORS, EMPLOYEES, SHAREHOLDERS, AGENTS, REPRESENTATIVES, LICENSORS, SUCCESSORS OR ASSIGNS, BE LIABLE TO YOU OR TO ANY THIRD PARTY WHATSOEVER FOR ANY DAMAGE, INCLUDING, BUT NOT LIMITED TO, INDIRECT, DIRECT, SPECIAL, PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, OR LOSS, OR VANDALISM OR THEFT OF PROGRAMS OR INFORMATION, AND ANY OTHER KIND OF DAMAGE), OR ANY OTHER DAMAGES ARISING IN CONNECTION WITH OR IN ANY WAY OUT OF THE AVAILABILITY OR USE OF, RELIANCE ON, OR INABILITY TO USE, THE SITE OR THE COMMUNICATION SERVICES, EVEN IF weRlive.COM WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGE, AND REGARDLESS OF THE FORM OF ACTION WHETHER IN CONTRACT, TORT, EQUITY OR OTHERWISE.  IF YOU ARE DISSATISFIED WITH THE SITE OR THE COMMUNICATION SERVICES OR YOU HAVE ANY DISPUTE WITH WERLIVE.COM IN CONNECTION WITH THE SAME OR THESE TERMS AND CONDITIONS THEN YOUR SOLE AND EXCLUSIVE REMEDY IS TO STOP USING THE SITE AND THE SERVICES (AND UNINSTALL THE EYEBALL SOFTWARE).

9. THIRD PARTY LINKS AND PRODUCTS– VIA OR IN CONNECTION WITH THE SITE AND THE COMMUNICATION SERVICES WE MAY PROVIDE YOU WITH LINKS TO SITES, AND OFFERS FOR PRODUCTS AND SERVICES, OF THIRD PARTIES.  WE HAVE NO CONTROL OVER SUCH SITES OR OVER SUCH PRODUCTS AND SERVICES.  WE ARE NOT RESPONSIBLE FOR AND DO NOT ENDORSE (A) THE CONTENT OF SUCH THIRD PARTY SITES, (B) THE PRODUCTS OR SERVICES OFFERED BY SUCH THIRD PARTIES OR (C) THE PRIVACY AND OTHER PRACTICES OF SUCH THIRD PARTIES.  NOR ARE WE RESPONSIBLE FOR THE AVAILABILITY OF SUCH SITES OR PRODUCTS OR SERVICES OFFERED BY SUCH THIRD PARTIES.
10. RESTRICTED LOCATIONS
    THE SITE AND COMMUNICATION SERVICES MAY NOT BE ACCESSED, VIEWED, DOWNLOADED OR OTHERWISE RECEIVED IN ANY COUNTRY OR LOCATION IN WHICH DOING SO WOULD, OR COULD BE DEEMED A VIOLATION OF ANY LAW, REGULATION, RULE, ORDINANCE, EDICT OR CUSTOM.
11. EYEBALL SOFTWARE - Video communication software being provided to you by weRlive.com includes software developed by Eyeball Networks Inc. (the "Eyeball Software"). weRlive.com does not own the Eyeball Software. weRlive.com only holds certain authorizations to use the Eyeball Software. Under no circumstances will weRlive.com be held responsible for technical defaults or other malfunctions and/or to damages arising directly and/or indirectly from the use of the Eyeball software. weRlive.com has the right to distribute and use the Eyeball Software, subject to limitations. Your right to use the Eyeball Software is pursuant to your agreement with weRlive.com and is also subject to your compliance with the following: (1) Ownership of Eyeball Software. All title and intellectual property rights copyright, moral rights, and patent rights in and to the Eyeball Software are owned by Eyeball Networks Inc. or its licensors. Nothing in these Terms and Conditions with weRlive.com shall constitute a grant, transfer, or assignment of any of the foregoing rights. (2) Use of Eyeball Software. You may use the Eyeball Software solely to access the Video communication services enabled by weRlive.com using Eyeball server software products or the Eyeball Internet Services. (3) User Account. You must access the services being provided by weRlive.com through an open User Account. You can have more than one User Account, but you may not share your User Accounts with any other person, and you may not use the User Account of any other person. (4) Copies. You may install the Eyeball Software licensed to you by weRlive.com on a single computer workstation. You may not make any copies of the Eyeball Software. (5) Reverse Engineering. You may not reverse engineer the Eyeball Software, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation. (6) Decompilation and Disassembly. You may not decompile, disassemble, or otherwise attempt to recover the source code of the Eyeball Software. (7) Sublicensing, Rental, and Assignment. You may not rent, lease, or directly or indirectly assign or transfer the Eyeball Software, or any portion thereof, to any person. (8) No Warranties, Liabilities, or Remedies against Eyeball. Your agreement is with weRlive.com, and any warranties, assumption of liability for damages, and remedies are provided by weRlive.com, and not by Eyeball Networks Inc. or its licensors. (9) Product Support. Product support for the Eyeball Software licensed to you is provided by weRlive.com and not by Eyeball Networks Inc..
12. INDEMNIFICATION: Member shall indemnify and hold weRlive.com, the owners and operators of weRlive.com as well as their officers, directors and employees harmless, against any and all expenses and/or losses, including reasonable attorney fees, incurred by weRlive.com in connection with any claims of any kind, that result directly or indirectly from the Member's activities in connection with weRlive.com including without limitation on the Site or via the Communication Services.  Such claims shall include, without limitation, claims in respect of any violation of law in a chat session with a Host.
13. NOTICES: Notices by the Site to you may be given by means of electronic messages through the Site, by a general posting on the Site, or by conventional email.
    Notices by you to the Site may be given by electronic messages, conventional mail, telephone or fax unless otherwise specified in these Terms and Conditions.
14. SEVERABILITY - To the extent that a court of competent jurisdiction determines that any specific term or terms of these Terms of Use is/are unenforceable, the other terms of this Agreement will continue in full force and effect.
15. WAIVER - No employee, agent or representative, including without representation a customer service representative, of ours shall be entitled to waive any term of this Agreement.
16. HEADERS – Headers of sections in this Agreement are included for convenience only and shall not be used to interpret these the Agreement.
